TERMS OF SERVICE AGREEMENT

This Terms of Service Agreement (“Agreement”) is made between Ranch Creative Ltd (“Company”) and you (“User”) and sets forth the terms and conditions of your use of the Company’s services.

1. Acceptance of Terms: By using the Company’s services, the User agrees to be bound by the terms of this Agreement.

3. Description of Services: The Company provides marketing and advertising services, including but not limited to website design, digital advertising, social media marketing, and content creation.

5. Payment: Payment is due upon receipt of the Company’s invoice. The Company reserves the right to withhold or cancel services until payment is received in full.

7. Term and Termination: This Agreement shall remain in effect until terminated by either party. Either party may terminate this Agreement at any time upon written notice. The Company reserves the right to terminate this Agreement immediately if the User breaches any provision of this Agreement.

9. Intellectual Property: The Company retains all right, title and interest in its intellectual property, including but not limited to trademarks, copyrights, and trade secrets. The User shall not copy, reproduce, distribute, or create derivative works based on the Company’s intellectual property without the Company’s prior written consent.

11. Disclaimer of Warranties: The Company makes no warranty or representation, either express or implied, regarding the services provided hereunder, including but not limited to any warranties of merchantability or fitness for a particular purpose.

13. Limitation of Liability: The Company shall not be liable to the User or any third party for any direct, indirect, special, incidental, or consequential damages arising from the User’s use of the Company’s services, even if the Company has been advised of the possibility of such damages.

Indemnification: The User agrees to indemnify, defend and hold harmless the Company and its officers, directors, employees and agents from and against any and all claims, damages, liabilities, costs and expenses, including reasonable attorneys’ fees, arising from or related to the User’s use of the Company’s services or breach of this Agreement.

17. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of England and Wales.

19. Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between the parties.

21. Modification of Agreement: The Company reserves the right to modify this Agreement at any time without prior notice. The User’s continued use of the Company’s services after any such modification shall constitute the User’s acceptance of the modified terms.

By using the Company’s services, the User agrees to be bound by the terms of this Agreement. If the User does not agree to the terms of this Agreement, the User should not use the Company’s services.
